3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Provide all required content, images, and materials as agreed
• Make payments according to the agreed payment schedule
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose

4. Payment Terms

• All prices are in CAD unless otherwise specified
• Payment schedules vary by service and will be outlined in your agreement
• Late payments may incur additional fees or result in service suspension
• All sales are final unless otherwise stated in our Refund Policy
• Invoices are due within 14 days of issuance unless otherwise agreed

5. Intellectual Property

Client-Owned Content

You retain all rights to content, images, and materials you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of delivering our services.

Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. We retain the right to use project work in our portfolio unless otherwise agreed in writing.

Third-Party Assets

Any third-party assets (fonts, stock images, plugins, etc.) used in your project remain the property of their respective owners and may be subject to separate licensing terms.

6. Project Timelines

• Project timelines are estimates and may be adjusted based on project scope changes or client delays
• Timely client feedback and content provision are essential to meeting deadlines
• We are not liable for delays caused by circumstances beyond our reasonable control

7. Revisions and Modifications

• The number of included revisions will be specified in your service agreement
• Additional revisions beyond the agreed scope may incur extra charges
• Significant scope changes will require a new agreement and additional payment

8. Warranties and Disclaimers

We warrant that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to specifications in the agreement

Disclaimer: Our services are provided "as is" without any warranty of specific results, including but not limited to search engine rankings, website traffic, or business outcomes.

9. Limitation of Liability

To the maximum extent permitted by law, Arcta Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information shared with us during the course of our engagement, except as required by law or with your permission.

11. Termination

Either party may terminate services:

• With 30 days' written notice for ongoing services
• Immediately for breach of these terms
• By mutual agreement

Upon termination, you remain responsible for payment for all work completed and expenses incurred up to the termination date.

12. Hosting and Maintenance

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Regular backups are performed, but you are responsible for maintaining your own backups
• Maintenance windows may be scheduled for updates and improvements

13. Third-Party Services

We may use third-party services (hosting providers, payment processors, etc.) to deliver our services. Your use of such services is subject to their respective terms and conditions.

14. Indemnification

You agree to indemnify and hold harmless Arcta Solutions from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any law or rights of a third party.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.
